Terms of Service

These Terms are an agreement between you (the "User") and Online Commercial Systems LLC, a California limited liability company located at 3400 Cottage Way, Sacramento, CA 95825, USA, operating the service under the brand "Alesha AI".

1. Service Description

Alesha is an AI-powered chatbot service for live streamers on YouTube, Twitch, and Kick. The service reads live chat messages, generates AI responses, translates content, moderates chat, and provides analytics. The service is managed through a web dashboard.

YouTube API Services. Alesha uses YouTube API Services. By using Alesha's YouTube features you agree to be bound by the YouTube Terms of Service, and you acknowledge the Google Privacy Policy. You can revoke Alesha's access to your Google account at any time via Google security settings.

2. Account & Registration

You must have a Google account to register. By registering, you confirm that you are at least 16 years old (or 13 years old with parental consent where US COPPA applies) and have the right to connect the streaming accounts you link. You are responsible for maintaining the security of your connected accounts.

3. Acceptable Use

You agree not to use Alesha to: generate harmful, illegal, or abusive content; spam or harass other users; violate YouTube, Twitch, or Kick terms of service; circumvent platform rate limits; or impersonate other individuals or entities.

4. AI-Generated Content & Your Responsibility

Alesha generates chat replies, moderation decisions, translations, and — where you enable Sponsorships — clearly-labeled sponsor messages, using AI (OpenAI) and translation (DeepL). While we strive for appropriate output, AI-generated content may occasionally be inaccurate, off-topic, or inappropriate. You can disable the bot at any time from the dashboard.

As the owner of the connected channel, you are solely responsible for the activity of the bot in your chat — including all AI-generated replies, moderation actions, translations, and any sponsor messages you have opted into — and for your own compliance with each platform’s rules and applicable law (including advertising-disclosure requirements; see Section 18). Alesha is a tool that acts on your behalf under your control.

As the Data Controller for your channel (see Section 13), you are responsible for disclosing to your viewers that an AI assistant operates in your chat (for example, in your channel description, a panel, or a pinned message) and for obtaining any consent that the law in your or your viewers’ jurisdiction requires for processing their public chat activity. Alesha only processes chat content viewers post publicly, on your instruction, and deletes it on the retention schedule in our Privacy Policy.

To the maximum extent permitted by law, you agree to indemnify and hold harmless Online Commercial Systems LLC (Alesha AI) and its service providers (including OpenAI and DeepL) from any third-party claims, damages, penalties, fines, or costs (including reasonable legal fees) arising from or related to the bot’s activity in your chat, your content, your use of the service, or your breach of these Terms or of any connected platform’s rules.

5. Subscriptions & Payments

The ad-supported plan is free forever with the full feature set. The Pro (ad-free) plan is billed monthly via Stripe and auto-renew each month until cancelled. You can cancel anytime from the upgrade page in your dashboard; cancellation takes effect at the end of the current billing period and you keep all paid features until then. Refunds are handled on a case-by-case basis; contact us via email.

6. Service Availability

We aim for high availability but do not guarantee uninterrupted service. The service depends on third-party APIs (YouTube, Twitch, Kick, OpenAI, DeepL) which may experience their own outages. We are not liable for missed messages or downtime caused by third-party service interruptions.

7. Termination

You can stop using the service at any time by turning off the bot from the dashboard. We reserve the right to suspend or terminate accounts that violate these terms. Upon termination, your data will be retained for 30 days and then deleted (except records we must retain by law).

8. Limitation of Liability

Alesha is provided "as is" without warranties. We are not liable for any damages resulting from the use of the service, including but not limited to loss of revenue, channel penalties, or data loss. Our total liability is limited to the amount you paid for the service in the last 3 months.

9. Intellectual Property

Alesha AI, including its software, algorithms, AI prompts, persona engine, user interface, branding, logo, and all related intellectual property, is the exclusive property of Online Commercial Systems LLC. "Alesha AI"™ is a trademark of Online Commercial Systems LLC. All rights not expressly granted to you under these Terms are reserved.

10. Prohibited Activities

You agree not to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying ideas of Alesha AI.
• Copy, reproduce, or create derivative works based on Alesha AI's features, UI, or functionality for the purpose of building a competing product.
• Use Alesha AI or any data obtained through it to develop, train, or improve any competing AI chatbot or similar service.
• Scrape, crawl, or use automated means to extract data, content, or functionality.
• Sublicense, resell, rent, lease, or transfer access without prior written consent.
• Remove, alter, or obscure any copyright, trademark, or proprietary notices.

11. Non-Compete

By using Alesha AI, you agree not to use knowledge gained through the service to create or contribute to a directly competing product. This restriction applies during use and for 12 months after termination.

12. EU Consumer Withdrawal Right

If you are a consumer residing in the European Union, you have a statutory right to withdraw from a paid subscription within 14 days of purchase without giving any reason, under the EU Consumer Rights Directive (2011/83/EU). To exercise this right, email [email protected] within 14 days of your initial payment with a clear statement of withdrawal. You acknowledge that by accessing the service immediately after payment, you may lose this right per Art. 16(m) of the Directive (digital content delivered immediately with prior express consent).

13. Data Processing Agreement (B2B Users)

When you use Alesha AI to process personal data of your viewers under GDPR or comparable laws, our Data Processing Agreement applies and forms part of these Terms. You act as the Data Controller; we act as the Data Processor.

14. Force Majeure

Neither party will be liable for any failure or delay in performance due to events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet outages, or third-party service failures (YouTube, Twitch, Kick, OpenAI, etc.).

15. Severability & Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with the Privacy Policy, Data Processing Agreement, and any subscription terms displayed during checkout, constitute the entire agreement between you and Online Commercial Systems LLC regarding Alesha AI.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. For non-arbitrable claims, exclusive jurisdiction lies with the state and federal courts located in Sacramento County, California.

Note for EU/UK consumers: This clause does not override your non-waivable rights under your country's consumer protection laws.

17. Dispute Resolution & Arbitration

Before filing any claim, you agree to first contact us at [email protected] and attempt good-faith resolution for 60 days.

If informal resolution fails, any dispute arising from these Terms or the service will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration will take place in Sacramento, California, in English. The arbitrator's decision is final and enforceable in any court of competent jurisdiction.

Class action waiver: You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Note for EU/UK consumers: This class action waiver may not apply where prohibited by your local consumer law.

Small claims exception: Either party may bring an individual claim in small claims court instead of arbitration.

18. Advertising Services & Creator Consent

18.1 Opt-In Monetization. By enabling the “Sponsorships” feature within the Platform dashboard, Creator provides express, prior, and specific consent for Alesha AI to deliver occasional, clearly-labeled sponsor messages and promotional content (“Branded Content”) directly into the Creator’s live chat stream on connected platforms (including YouTube, Twitch, and Kick).

18.2 Platform Compliance & Disclosures. Creator acknowledges and agrees that they are solely responsible for compliance with the respective streaming platform’s Terms of Service and local advertising regulations (such as FTC guidelines). Creator must manually enable the “Branded Content”, “Paid Promotion”, or equivalent disclosure toggle within their YouTube Studio, Twitch Dashboard, or TikTok Live settings during any broadcast where Alesha AI’s sponsorship features are active.

18.3 No Automated PII Exploitation. Alesha AI guarantees that no personally identifiable information (PII) or user data derived from third-party platform APIs is stored, aggregated, or sold to third-party advertisers. All advertising analytics provided to partners are strictly generated from aggregate, first-party web interaction events occurring on Alesha AI’s proprietary infrastructure (e.g., clicks on SmartLinks or landing pages).

18.4 Immediate Opt-Out. Creator maintains absolute control over their stream identity. Creator may revoke their consent and completely disable all promotional messages at any time, instantly and with a single click, by unchecking the consent box in the Sponsorships panel. No further automated sponsor messages will be triggered once the opt-out is registered.

19. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated to registered users via email or dashboard notification at least 30 days before taking effect. Continued use of the service after changes constitutes acceptance of the updated Terms.
